Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and GINX ("GINX", "we", "us", or "our"). By accessing or using https://ginx.ai or any of our products and services (the "Services"), you agree to be bound by these Terms.

Our Privacy Policy is incorporated into these Terms by reference. If you do not agree to these Terms, do not use the Services.

"Services"

The GINX website, waitlist, AI agents, platform, applications, APIs, and any related products or content we make available.

"User", "you"

Any individual or entity that accesses or uses the Services.

"Content"

Any text, data, prompts, files, or other materials submitted to or generated through the Services.

"Output"

Content generated by our AI agents or models in response to your inputs.

You must be at least 16 years old (or the age of digital consent in your jurisdiction) and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

Joining the waitlist or creating an account does not guarantee access to the Services. You agree to provide accurate information, keep your credentials confidential, and accept responsibility for activity under your account. Notify us promptly of any unauthorized use.

You agree not to, and not to permit others to:

• Use the Services in violation of any applicable law or regulation;
• Infringe the intellectual-property, privacy, or other rights of any party;
• Upload malware or attempt to disrupt, overload, or gain unauthorized access to the Services;
• Reverse engineer, scrape, or copy the Services except as permitted by law;
• Use the Services or Output to generate unlawful, harmful, deceptive, or abusive content;
• Resell or sublicense the Services without our written consent.

We may suspend or terminate access for any violation of these Terms.

Our Services use artificial intelligence to generate Output. AI Output may be inaccurate, incomplete, or otherwise unsuitable for your purposes. You are responsible for evaluating Output before relying on it, and you should not treat it as professional (legal, medical, financial, or other) advice.

As between you and us, and to the extent permitted by law, you own the Output generated from your inputs. You are responsible for ensuring your inputs and your use of Output comply with these Terms and applicable law. Output may not be unique—similar Output may be generated for other users.

The Services, including all software, text, graphics, logos, and the "GINX" name and marks, are owned by GINX or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms. No other rights are granted.

You retain ownership of Content you submit. You grant us a worldwide, royalty-free license to host, process, and use your Content solely to operate, secure, and improve the Services. You represent that you have the rights necessary to submit your Content.

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

The Services may integrate with or link to third-party products and services that we do not control. Your use of them is governed by their terms, and we are not responsible for their content, availability, or practices.

Some features may be offered free of charge or as paid plans. Where fees apply, the price, billing cycle, and terms will be disclosed before purchase. Unless required by law or stated otherwise, fees are non-refundable. We may change pricing prospectively with reasonable notice.

Some Services may be offered on a pre-release, beta, or evaluation basis and may be changed or discontinued at any time. To the maximum extent permitted by law, the Services are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, error-free, or that Output will be accurate or reliable.

To the maximum extent permitted by law, GINX and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.

Our total aggregate liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify and hold harmless GINX and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Content, your use of the Services, or your violation of these Terms or applicable law.

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if you breach these Terms. You may stop using the Services at any time. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-laws rules. You agree to submit to the exclusive jurisdiction of the competent courts located in Ho Chi Minh City, Vietnam for any dispute arising out of or relating to these Terms or the Services, except where prohibited by applicable law.

Before filing a claim, you agree to first contact us to seek an informal resolution.

We may modify these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
